This THORPE Offering follows a two-tier Waterfall distribution structure, whereby initial payouts prioritize investors' return of capital, and then provide for long-term participation. 

Tier 1: Until investors collectively receive 120% of their original investment, 80% of all Company net revenues from THORPE across all sources are allocated to investors. 

Tier 2: After the Tier 1 threshold is met, investors will continue to receive 30% of all company net revenues from all sources of the life of the project.
