What can I tell potential investors about my offering?

Before a Form C has been filed with the SEC, the company cannot publicize or announce its intention to conduct an investment crowdfunding offering, overtly or implicitly. Regulators can be expected to rigorously enforce this prohibition.

Once Form C has been filed and your Republic page is publicly available, the only permissible advertisement or public announcement is one that includes at most the following elements:

A statement that the company is conducting an offering, the name of the intermediary through which the offering is being conducted and a link directing the investor to the intermediary’s platform;
The terms of the offering (limited to the amount of securities offered, the nature of the securities, the price of the securities and the closing date of the offering period); and
Factual information about the legal identity and business location of the company (limited to the name of the company, the address, phone number and website of the company, the email address of a representative of the company and a brief description of the business of the company).

This prohibition applies not only to the company but to all persons acting on behalf of the company in the offering, including third party marketers and promoters.

Discussion forum affiliation disclosure requirements

Republic provides a discussion forum for each offering, to which Republic allows access after a screening process. Investors can discuss an offering among themselves and with employees of the company and certain other persons. All employees or people affiliated with the company or acting on its behalf must identify their Issuer affiliation when responding or commenting in the discussion forum. We strongly encourage company management to monitor the offering page and to ensure that all information provided to investors is not only accurate but also paints a complete picture of the issue at hand.
